The law allows the AMF to obtain freeze orders and trading bans when it is suspected that an initial public offering has been made without the prior filing of a prospectus. In this instance, failure to verify the reasons for fund transfers in the company’s bank account, combined with the clear precise, and preponderant proof presented by Michel Verville, led to the opposite conclusion.
